1 Introduction & Acceptance

Welcome to Trifix.ng ("Trifix," "we," "our," or "us"). By accessing or using our website, mobile application, USSD services, or any other digital channel (collectively, the "Platform"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be irrevocably bound by these Terms of Service ("Terms") and all applicable laws and regulations of the Federal Republic of Nigeria.

IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND MUST DISCONTINUE USE IMMEDIATELY.

Trifix operates as an independent technology platform that facilitates connections between individuals or entities seeking services ("Clients") and skilled professionals offering such services ("Artisans"). Trifix is not a party to any contract for services entered into between Clients and Artisans, nor is it an employer, joint venturer, or partner of any Artisan.

2 Account Registration & Vetting

  • Eligibility: You must be at least 18 years of age and possess the legal capacity to enter into a binding contract under Nigerian law.
  • Accuracy of Information: You covenant to provide accurate, current, and complete information during registration and to maintain and promptly update such information to keep it accurate and complete. Provision of false, misleading, or fraudulent information shall constitute a material breach of these Terms.
  • Artisan Verification: Artisans are required to undergo Trifix's multi-stage vetting process, which may include identity verification (NIN, Driver's License, or International Passport), skills assessment, and background screening. Notwithstanding the foregoing, Trifix makes no representations or warranties as to the accuracy, completeness, or reliability of any background check, and you acknowledge that such vetting does not eliminate all risks.
  • Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and USSD PIN. You agree to accept full responsibility for all activities that occur under your account. You must notify Trifix immediately of any unauthorized use of your account or any other breach of security.

3 Payments & Escrow Policy

⚠️ MATERIAL BREACH WARNING: All payments for services sourced through the Trifix Platform MUST be processed exclusively through Trifix's integrated payment system. Any direct cash payment, bank transfer, or off-platform settlement between Client and Artisan ("Circumvention") constitutes a fundamental breach of these Terms, voids all Trifix Shield protections, and will result in immediate and permanent termination of all involved accounts without recourse to refund of any fees paid.
  • Escrow Mechanism: Client payments for services are held in a segregated Escrow account managed by Trifix's licensed payment partners. Funds shall only be released to the Artisan upon the Client's provision of a valid 4-Digit Completion Code or upon the conclusion of Trifix's Dispute Resolution Process.
  • Service Fees: Trifix charges a service fee, calculated as a percentage of the total job value, which is deducted from the Artisan's payout. This fee is consideration for access to the Platform, marketing, vetting, payment processing, and customer support infrastructure. Service fees are non-refundable except as expressly provided in our Refund Policy.
  • Refunds: Requests for refunds shall be governed strictly by our Refund Policy, which is incorporated herein by reference.
  • Chargebacks: In the event of a chargeback or payment reversal initiated by a Client's financial institution, Trifix reserves the right to immediately suspend the Client's account and pursue all available legal remedies to recover the disputed amount plus associated administrative costs.

4 Prohibited Conduct

You expressly agree that you shall not, under any circumstances:

  • Circumvention: Solicit, induce, or attempt to move any transaction, relationship, or communication off the Platform for the purpose of evading Trifix's service fees or vetting protocols.
  • Harassment & Discrimination: Engage in any conduct that constitutes harassment, intimidation, bullying, hate speech, or discrimination based on tribe, religion, gender, age, disability, or any other protected characteristic under Nigerian law.
  • Fraud & Misrepresentation: Create fictitious job postings, submit false completion codes, provide misleading service descriptions, or utilize stolen or unauthorized payment instruments.
  • Unsafe or Illegal Work: Request or perform any service that violates applicable Nigerian laws, including but not limited to the Factories Act, the Labour Act, environmental regulations, or building codes. This includes performing electrical or gas work without proper certification.
  • Platform Interference: Use any robot, spider, scraper, or other automated means to access the Platform; introduce viruses, trojans, or other malicious code; or attempt to reverse engineer, decompile, or otherwise derive the source code of the Platform.

5 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE"

To the maximum extent permitted by applicable law, Trifix expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
  • Warranties that the Platform will be uninterrupted, timely, secure, error-free, or free of harmful components;
  • Warranties regarding the quality, suitability, safety, or legality of any Artisan's services, or the truth, accuracy, or completeness of any User Content.

Trifix does not guarantee that any Artisan is licensed, bonded, insured, or possesses any particular level of skill. Any reliance you place on information provided by an Artisan or found on the Platform is strictly at your own risk.

6 Limitation of Liability

READ THIS SECTION CAREFULLY – IT LIMITS OUR LIABILITY TO YOU

To the fullest extent permitted by the laws of the Federal Republic of Nigeria:

  • No Liability for Artisan Conduct: Trifix shall not be liable for any acts, errors, omissions, negligence, misconduct, or criminal acts of any Artisan or Client. Any claims arising from the engagement of an Artisan shall be brought solely against that Artisan.
  • Exclusion of Damages: In no event shall Trifix, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of business reputation, loss of data, personal injury, property damage, or emotional distress, arising out of or in connection with your use of, or inability to use, the Platform.
  • Monetary Cap: Notwithstanding anything to the contrary contained herein, Trifix's aggregate liability to you for any and all claims arising out of or relating to these Terms or your use of the Platform shall not exceed the total amount of Trifix service fees actually paid by you (or collected from an Artisan in connection with your job) during the six (6) month period immediately preceding the event giving rise to the claim.

7 Indemnification

You agree to defend, indemnify, and hold harmless Trifix, its parent, subsidiaries, affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees on a solicitor-and-client basis) arising out of or in connection with:

  • Your use of, or inability to use, the Platform;
  • Your breach or alleged breach of these Terms;
  • Your violation of any applicable Nigerian law, regulation, or the rights of any third party;
  • Any dispute you have with another User of the Platform;
  • Any personal injury, property damage, or other harm allegedly caused by services you provided (if you are an Artisan) or received (if you are a Client).

Trifix reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not in any event settle any such matter without the prior written consent of Trifix.

8 Dispute Resolution & Arbitration

Internal Dispute Resolution (Artisan-Client Disputes):

Any dispute arising between a Client and an Artisan concerning the quality, scope, or completion of services must be reported to Trifix's Dispute Resolution Center within forty-eight (48) hours of the scheduled job completion time. You agree to participate in good faith in Trifix's investigation and to abide by Trifix's final and binding determination regarding the disposition of Escrow funds. Trifix's decision shall be final and non-appealable within the Platform ecosystem, without prejudice to your rights to pursue legal remedies in a court of competent jurisdiction as outlined below.

Formal Dispute Resolution (User vs. Trifix):

  • Governing Law: These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
  • Negotiation & Mediation: Before initiating any formal legal proceeding, you agree to first attempt to resolve the dispute informally by contacting Trifix's Legal Department at legal@trifix.ng. If the dispute is not resolved within thirty (30) days, the parties agree to submit the dispute to non-binding mediation at the Lagos Multi-Door Courthouse (LMDC) or an equivalent mediation centre in Akwa Ibom State.
  • Jurisdiction: Subject to the foregoing mediation requirement, you irrevocably submit to the exclusive jurisdiction of the courts of Akwa Ibom State, Nigeria, or the Federal High Court of Nigeria (whichever has competent jurisdiction) for the resolution of any dispute arising under these Terms.

9 Intellectual Property Rights

The Platform, including but not limited to its source code, object code, design, layout, graphics, logos, trademarks, service marks, trade names, and all content contained therein (collectively, "Trifix IP"), is owned or licensed by Trifix and is protected by Nigerian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Trifix grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes strictly in accordance with these Terms. You shall not copy, modify, distribute, sell, lease, or create derivative works based on any Trifix IP without our express prior written consent.

Any User Content (reviews, profile pictures, etc.) you submit to the Platform grants Trifix a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and display such content in connection with operating and promoting the Platform.

10 Force Majeure

Trifix shall not be liable for any delay or failure to perform its obligations under these Terms resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics or pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

11 Termination & Account Suspension

Trifix reserves the right, in its sole and absolute discretion, to suspend, restrict, or terminate your access to the Platform, and to deactivate or delete your account, for any reason or no reason, with or without prior notice or liability, including without limitation if Trifix reasonably believes that you have breached any provision of these Terms or engaged in conduct that could expose Trifix to legal liability or reputational harm.

Upon termination, all licenses and rights granted to you hereunder shall immediately cease. Provisions of these Terms that by their nature should survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive.

12 General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and Trifix concerning the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
  • Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
  • Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Trifix's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Trifix. Trifix may assign these Terms freely without restriction.
  • Modifications: Trifix reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice via email or a prominent notice on the Platform. Your continued use of the Platform after the effective date of any revised Terms constitutes your acceptance of the revised Terms.

Any legal process or notice of dispute must be served via registered post or courier to the physical address above and simultaneously emailed to legal@trifix.ng. Service is not effective unless both conditions are met.
